1. Appointment
- [Counsel: Smelted acts as the seller’s agent for licensing the listed data; scope, territory and whether the appointment is exclusive for a period.]
2. Listings under this agreement
- [Counsel: one agreement covers every listing for this seller. Each listing is added when the seller approves its text and commission in writing (an email is enough); that approval is the listing’s schedule.]
3. Anonymized listing
- [Counsel: Smelted lists the data without the seller’s name; the seller’s identity is shared only with buyers Smelted has vetted and introduced, under an NDA with the seller.]
- [Counsel: no personal data in any listing or sample.]
4. Seller approval
- [Counsel: the seller approves each buyer it negotiates with; accepting to negotiate is not acceptance of a license.]
5. Commission
- [Counsel: Smelted’s commission is a percentage of each license fee, between 10% and 30%, set per listing in the schedule the seller approves. A change needs the seller’s approval again.]
- [Counsel: how the fee is collected and paid out. Do not state a payment timeline unless counsel and finance have agreed one.]
6. Fee protection
- [Counsel: Smelted’s commission is owed on any license between the seller and a buyer Smelted introduced, signed while this agreement runs or within [12–24] months after it ends, whether or not Smelted is still involved.]
7. Seller representations
- [Counsel: authority to license, ownership of the data, compliance with privacy law (GDPR, LGPD, DPDP and others as relevant), and any customer contract limits.]
8. Term and termination
- [Counsel: term, withdrawal of a listing, and what survives for licenses already signed.]
